Terms of Service

We are CookSAT LLC ("CookSAT," "Company," "we," "us," or "our"), a company registered in Virginia, United States. We operate cooksat.com and related products and services that link to these Terms of Service (collectively, the "Services"). CookSAT provides SAT and ACT preparation tools, including practice questions, practice tests, score tracking, AI tutoring and explanations, community features, vocab tools, Discord programs, and paid subscriptions. You can contact us at [email protected]. These Terms of Service are a legally binding agreement between you and CookSAT. By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

OUR SERVICES

CookSAT is an online study platform for SAT and ACT preparation. The Services may include practice questions, practice tests, score tracking, analytics, study plans, AI tutoring, AI-generated solutions, OCR/image-based question help, essay grading, comments, vocab tools, attachments, Discord community programs, and related features.

CookSAT is not a school, tutor of record, test administrator, or admissions advisor. The Services are for study support only. We do not guarantee any specific SAT score, ACT score, admission outcome, scholarship, grade, or academic result.

SAT is a trademark registered by the College Board. ACT is a trademark of ACT, Inc. CookSAT is not affiliated with, endorsed by, sponsored by, or approved by the College Board or ACT, Inc.

The Services are hosted primarily in the United States. If you access the Services from another country, you are responsible for complying with local laws.

ELIGIBILITY AND PARENTAL PERMISSION

You must be at least 13 years old to use CookSAT. The Services are not directed to children under 13.

If you are under the age of majority where you live, you may use the Services only with permission from a parent or legal guardian. By using the Services, you represent that you are at least 13 and, if you are a minor, that your parent or guardian has reviewed these Terms and allowed you to use CookSAT.

Parents and guardians are responsible for supervising a minor's use of the Services, including subscriptions, community features, Discord participation, AI features, and uploaded content.

If we learn that a user is under 13, we may terminate the account and take reasonable steps to delete or anonymize personal information as described in our Privacy Policy.

INTELLECTUAL PROPERTY RIGHTS

Our intellectual property

We own or license the Services, including source code, databases, software, designs, interfaces, text, graphics, explanations, practice content, questions, official solutions, AI-generated official solutions, videos, images, trademarks, service marks, logos, and other materials we provide (collectively, "CookSAT Content").

CookSAT Content is protected by copyright, trademark, and other intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services and CookSAT Content for your personal, non-commercial study use.

You may not copy, scrape, reproduce, publish, distribute, sell, license, share, upload, screenshot for redistribution, post to other platforms, train models on, or otherwise exploit CookSAT Content except as these Terms or the Services expressly allow. You may not share your account or login credentials with another person.

Your submissions to CookSAT

If you send us feedback, suggestions, bug reports, ideas, or other comments about CookSAT, you grant us the right to use them without restriction or compensation. This does not transfer ownership of your user content described below.

USER REGISTRATION

You may need an account to use parts of the Services. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for your account, password, connected accounts, and activity under your account.

We may remove, reclaim, or change a username if we determine that it is inappropriate, misleading, infringing, impersonating someone else, or otherwise objectionable.

PLANS, PURCHASES, AND PAYMENT

CookSAT has a free tier and paid subscription tiers, currently including PLUS, PREMIUM, and MAX. Features, limits, prices, and plan names may change over time. The plan shown at checkout or in the app controls your subscription at the time you subscribe.

We use Stripe for payments and billing. By purchasing a subscription, you authorize CookSAT and Stripe to charge your payment method for the selected plan, taxes, and applicable fees. You agree to provide current, complete, and accurate payment and account information and to update it as needed.

We may change prices in the future. Price changes will apply as permitted by law and by Stripe's billing flow. We may refuse, limit, or cancel orders where we suspect fraud, abuse, pricing errors, unauthorized use, or Terms violations.

Accepted payment methods may include cards and other methods supported by Stripe. Stripe's own terms and privacy notices apply to Stripe's processing.

SUBSCRIPTIONS, CANCELLATION, PAST-DUE ACCOUNTS, AND REFUNDS

Billing and renewal

Paid subscriptions renew automatically unless canceled. The billing cycle depends on the plan you choose. You authorize recurring charges until you cancel or the subscription otherwise ends.

Free tier and legacy trials

CookSAT offers a free tier. CookSAT does not currently promise a free trial for new subscriptions. If your account already has a grandfathered legacy trial, we will honor that trial until its natural end under the terms that applied when it was granted, unless your account is terminated for abuse, fraud, nonpayment, or a Terms violation.

Cancellation

You may cancel a paid subscription through account settings, Stripe's billing portal where available, or by contacting [email protected]. For active paid subscriptions, cancellation normally takes effect at the end of the current paid billing period, and you keep paid access until then. Canceling stops future renewal charges; it does not automatically refund the current billing period.

Past-due accounts

If a payment fails for a paying customer, CookSAT may move the account to a past-due status while Stripe retries payment. Current billing behavior includes a 7-day past-due grace window measured from the first failed charge in the dunning cycle. If payment succeeds during that window, paid access may be restored. If the grace window expires without recovery, CookSAT may cancel the subscription and return the account to the free tier. Past-due users may also cancel immediately.

Refunds

Except where required by law, subscription charges are non-refundable, and we do not provide partial or prorated refunds for unused time in a billing period. If you believe a charge should not have happened, you may request a refund review by contacting [email protected] within seventy-two (72) hours of the charge. If we determine, in our sole discretion, that the request is supported by a valid reason, we may issue a full or partial refund, handled manually through Stripe. Examples of reasons we may consider valid include duplicate charges, post-deletion billing errors, clear billing mistakes, or other support-approved remediation.

The following are not, by themselves, valid reasons for a refund: forgetting to cancel before an automatic renewal, not using your subscription, or dissatisfaction with Services already delivered. Automatic renewal is disclosed at the time of purchase, and you can cancel at any time through account settings. A refund granted in one situation does not create a right to a refund in any other situation, and nothing in this section limits our discretion to grant or decline a refund in individual cases.

AI FEATURES AND EDUCATIONAL CONTENT

CookSAT may provide AI tutoring, AI-generated solutions, OCR, image-based question help, essay grading, classification, and other automated features. These features may be powered by third-party AI providers as described in our Privacy Policy.

AI outputs can be incomplete, outdated, or wrong. AI tutoring and solutions are study aids, not professional advice and not official SAT or ACT scoring guidance. You are responsible for checking answers, explanations, calculations, citations, and generated content before relying on them.

CookSAT may label, store, display, edit, moderate, or replace AI-generated explanations and official solutions. AI-generated official solutions and other official explanations presented by CookSAT are CookSAT Content, even when generated with AI tools.

Do not submit highly sensitive personal information, secrets, or information you do not have the right to share through AI features or uploads.

PROHIBITED ACTIVITIES

You may not use the Services for any purpose other than their intended personal, non-commercial study use. You agree not to:

  • Violate any law, regulation, contract, or third-party right.
  • Use the Services if you are under 13 or if you are a minor without parental permission.
  • Provide false, misleading, incomplete, or unauthorized account, billing, school, or identity information.
  • Share, sell, transfer, lend, or rent your account or login credentials.
  • Copy, screenshot for redistribution, scrape, download in bulk, publish, leak, sell, train models on, or distribute CookSAT questions, explanations, tests, answers, or other CookSAT Content.
  • Circumvent paywalls, rate limits, access controls, security features, anti-abuse systems, or content-protection measures.
  • Use bots, scrapers, data-mining tools, automated account creation, or other automated systems without our written permission.
  • Reverse engineer, decompile, disassemble, or attempt to derive source code except as permitted by law.
  • Upload malware, spam, phishing content, harmful code, or content designed to disrupt the Services.
  • Harass, threaten, bully, abuse, exploit, impersonate, dox, shame, or harm another person.
  • Post sexual, violent, hateful, discriminatory, self-harm, exploitative, illegal, or otherwise unsafe content.
  • Use the Services to cheat on live tests, violate testing rules, misrepresent your own work, or engage in academic misconduct.
  • Interfere with the Services, networks, infrastructure, staff, support systems, payment systems, or other users.
  • Make false abuse reports, chargeback claims, refund claims, copyright notices, or support requests.
  • Use CookSAT Content or Services to build, train, benchmark, or improve a competing product or commercial service.

USER CONTENT AND CONTRIBUTIONS

The Services may let you create, upload, submit, display, send, or post content, including comments, messages, vocab folders, vocab sets, vocab cards, notes, question sets, attachments, images, screenshots, reports, feedback, profile information, and other material ("User Content").

You are responsible for your User Content. You represent that you own or have the rights needed to submit it, that it is accurate where accuracy matters, and that it does not violate these Terms, another person's rights, or applicable law.

User Content may be visible to other users, moderators, administrators, service providers, or the public depending on the feature. Do not post personal information you do not want others to see.

USER CONTENT LICENSE

You keep ownership of your User Content. By submitting User Content to CookSAT, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, copy, display, perform, publish, transmit, reformat, excerpt, moderate, remove, modify for formatting or safety, create derivative works needed to operate the Services, and otherwise use your User Content to provide, protect, improve, promote, and operate CookSAT.

This license allows us to show comments, messages, vocab content, attachments, and other contributions in the product; moderate and investigate content; keep records needed for safety, legal, fraud, and integrity reasons; and maintain the context of community or learning records after account deletion as described in the Privacy Policy.

We do not claim ownership of your User Content. We may remove or restrict User Content at any time, with or without notice, if we believe it violates these Terms, creates risk, infringes rights, harms users, or affects the Services.

COMMUNITY CONDUCT AND MODERATION

CookSAT may include comments, direct messages, public or semi-public content, Discord programs, and other community spaces. You agree to use those spaces respectfully and safely.

We may review, moderate, hide, remove, edit for safety/formatting, restrict, preserve, report, or disclose User Content and account activity when we believe it is necessary to enforce these Terms, protect users, comply with law, investigate abuse, prevent fraud, or operate the Services. We may suspend or terminate accounts for community violations.

Community features are not private counseling, emergency support, or guaranteed monitored spaces. If you believe someone is in immediate danger, contact local emergency services.

THIRD-PARTY SERVICES AND CONTENT

The Services may link to, integrate with, or rely on third-party websites, platforms, APIs, models, processors, payment systems, login providers, advertising tools, hosting providers, Discord, Google, Stripe, Meta, AI providers, and other third-party services.

We are not responsible for third-party services, content, policies, availability, security, or practices. Your use of third-party services may be governed by their own terms and privacy policies.

SERVICES MANAGEMENT

We reserve the right, but not the obligation, to monitor the Services for violations of these Terms; investigate suspected abuse, fraud, security issues, or illegal activity; restrict or disable accounts or content; remove excessive or risky files; block IP addresses; rate-limit usage; report conduct to law enforcement or third parties where appropriate; and manage the Services to protect users, CookSAT, and the product.

PRIVACY POLICY

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms. The Privacy Policy explains what information we collect, how we use it, which third-party processors receive it, how AI features process text and images, how deletion and retention work, and what privacy rights may apply.

TERM AND TERMINATION

These Terms remain in effect while you use the Services. We may suspend, restrict, or terminate your account or access to the Services at any time, with or without notice, if we believe you violated these Terms, created risk, failed to pay, abused trials or promotions, infringed rights, broke community rules, threatened safety, or used the Services unlawfully.

You may delete your account through account settings where available. Account deletion is handled as described in the Privacy Policy. In general, deletion anonymizes identity and removes account access, auth/session/token records, and certain connected-account fields, but some de-identified learning records, content contributions, operational logs, payment records, fraud records, and legal records may be retained.

If your account is terminated or suspended, you may not create another account without our permission.

MODIFICATIONS AND INTERRUPTIONS

We may change, suspend, discontinue, limit, rename, or remove any part of the Services at any time, including features, tiers, pricing, AI tools, questions, explanations, community features, and integrations. We are not obligated to maintain any feature or content forever.

The Services may be unavailable because of maintenance, infrastructure issues, third-party outages, bugs, security incidents, or other reasons. We are not liable for downtime, interruptions, data loss, or feature changes except where required by law.

GOVERNING LAW

These Terms and your use of the Services are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles, except where applicable law requires otherwise.

DISPUTE RESOLUTION

Informal resolution

Before filing a claim, you and CookSAT agree to try to resolve disputes informally for at least 30 days by sending written notice to the other party. Notices to CookSAT must be sent to [email protected]. Your notice should describe the dispute and the relief requested.

Small-claims carveout

Either party may bring an individual claim in small-claims court if the claim qualifies and remains only in that court.

Binding arbitration

Except for disputes excluded below, any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration on an individual basis. You understand that, without this provision, you may have the right to sue in court and have a jury trial.

The arbitration will be conducted by the American Arbitration Association under its applicable consumer rules, unless the parties agree otherwise. Arbitration may be conducted by phone, video, written submissions, or in person as allowed by the rules.

Class and representative action waiver

To the fullest extent permitted by law, disputes must be brought only on an individual basis. Neither you nor CookSAT may bring a dispute as a plaintiff or class member in a class, collective, consolidated, private attorney general, or representative action.

Exceptions

This arbitration section does not apply to: (1) individual claims in small-claims court; (2) disputes about intellectual property rights; (3) claims involving theft, piracy, unauthorized access, or misuse of the Services; (4) requests for injunctive or equitable relief; or (5) claims that cannot be arbitrated under applicable law.

30-day opt-out

You may opt out of this arbitration section within 30 days after you first become subject to it by emailing [email protected] with the subject "Arbitration Opt-Out" and including the email address for your CookSAT account. Opting out of arbitration does not opt you out of any other part of these Terms.

Court venue

If a dispute proceeds in court rather than arbitration, it must be brought in the state or federal courts located in Virginia, except where applicable law requires another venue.

CORRECTIONS

The Services may contain typographical errors, inaccuracies, omissions, broken content, pricing errors, incorrect explanations, model errors, or outdated information. We may correct, update, or remove information at any time without prior notice.

DISCLAIMER

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, COOKSAT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND SECURITY.

WE DO NOT WARRANT THAT THE SERVICES, QUESTIONS, EXPLANATIONS, AI OUTPUTS, SCORES, RECOMMENDATIONS, COMMUNITY CONTENT, OR THIRD-PARTY CONTENT WILL BE ACCURATE, COMPLETE, SECURE, ERROR-FREE, AVAILABLE, OR FIT FOR YOUR PURPOSES.

WE DO NOT GUARANTEE ANY SPECIFIC SAT SCORE, ACT SCORE, SCORE IMPROVEMENT, ACADEMIC RESULT, ADMISSION OUTCOME, SCHOLARSHIP, OR TEST PERFORMANCE.

LIMITATIONS OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, COOKSAT AND ITS DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, PUNITIVE, OR SIMILAR DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM WILL BE LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID TO COOKSAT FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) FIFTY DOLLARS ($50).

Some laws do not allow certain limitations, so some of these limits may not apply to you.

INDEMNIFICATION

You agree to defend, indemnify, and hold harmless CookSAT and its directors, employees, contractors, agents, affiliates, and service providers from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to: (1) your use of the Services; (2) your User Content; (3) your violation of these Terms; (4) your violation of another person's rights; (5) your violation of law; (6) your payment, refund, chargeback, or fraud-related conduct; or (7) harmful conduct toward another user.

We may assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense.

USER DATA

We maintain data related to your account and use of the Services as described in the Privacy Policy. Although we use backups and operational safeguards, you are responsible for maintaining copies of information you need outside CookSAT. We are not liable for loss or corruption of data except where required by law.

ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

By using the Services, creating an account, sending emails, completing forms, clicking buttons, or making purchases, you consent to receive communications electronically. Electronic communications satisfy any legal requirement that communications be in writing where permitted by law. You agree to the use of electronic records, contracts, notices, signatures, and transactions.

MISCELLANEOUS

These Terms, the Privacy Policy, and any policies or rules posted in the Services are the entire agreement between you and CookSAT regarding the Services. Our failure to enforce a provision is not a waiver. If any provision is unlawful or unenforceable, the remaining provisions remain effective. We may assign these Terms. You may not assign them without our consent. No joint venture, partnership, employment, or agency relationship is created by these Terms or your use of the Services.
